PUBLIC OFFER CONTRACT

for services provided by BUSINESS ARCHITECT GROUP INC.


Hereby, Business Architect Group Inc., hereinafter referred to as the “Company,” expresses its intention to conclude a remunerated service contract with third parties, hereinafter referred to as the “Client,” under the terms of this offer (hereinafter - “Contract”), posted on the Company’s Website. The Company and the Client are jointly referred to as the Parties of this contract.
1. TERMS AND DEFINITIONS
1.1. Public Offer: A proposal containing all the essential terms of a contract, implying that the person making the offer is willing to enter into a contract on the stated terms with anyone who accepts it.
1.2. Acceptance: The response of the person to whom the offer is directed, signifying its complete and unconditional agreement. The Client's actions in line with the offer's terms (such as requesting a specific service via email, phone, or other means, or paying an issued invoice) constitute acceptance.
1.3. Company: The legal entity known as BUSINESS ARCHITECT GROUP INC., Address: 6005 Chimney Springs Rd., Buford, Georgia, US, 30518.
1.4. Client: An individual or legal entity that accepts this offer by initiating a request for the Company's services.
1.5. Services or Service Package: Professional business consulting, architecture, and advisory services as described by the Company and agreed upon with the Client. General descriptions of available services may be found on the Website, but the final scope is defined in a separate written agreement or invoice.
1.6. Application or Order: A formal request for Services initiated by the Client via email, telephone, or other direct communication with the Company.
1.7. Contract:A binding agreement between the Company and the Client for the provision of Services, established by the Client's acceptance of this offer and the Company's confirmation.
1.8. Website: The Company's informational website at the Company’s domain, which describes its activities and service philosophy.
2. AGREEMENT SUBJECT
2.1. The Company commits to providing the Client with professional business consulting, strategic planning, business architecture development, and related advisory services aimed at fostering and advancing the Client's business endeavors. The specific scope, deliverables, and terms for each engagement will be mutually agreed upon in writing.
2.2. The Client is responsible for providing the necessary information and documentation pivotal for the delivery of the services and for handling payment for the agreed-upon services.
2.3. The Client's act of requesting services and/or making a payment against a Company invoice is interpreted as an acceptance of this offer and signifies agreement to its general terms.
3. SERVICE PROVISION TERMS
3.1. The Company provides Services to the Client for a fee, as detailed in a separate proposal, statement of work, or invoice.
3.2. Details regarding the method, format, and timeline of service provision are defined in the specific engagement documents.
3.3. Services are provided based on the Company's professional expertise and are intended for the Client's business use. The Company operates exclusively at the Client’s direction and does not provide legal or regulated financial advice requiring a specific professional license unless otherwise agreed and provided by a licensed affiliate/partner.
3.7. The Company generally operates during regular business hours: Monday to Friday, excluding public holidays. Specific meeting times are scheduled by mutual agreement.
3.10. The primary means of communication for this Agreement shall be email to the Company at businessarchitectgroup@gmail.com and to the Client's email provided during engagement.
4. SERVICE DELIVERY TIMELINES
4.1. The timeline for service delivery will be agreed upon for each specific engagement and is dependent on the timely provision of required information by the Client.
4.2. The commencement date for services is acknowledged upon mutual agreement on scope and, if applicable, receipt of payment as per the issued invoice.
5. SERVICE COST AND PAYMENT PROCEDURES
5.1. Service fees are determined based on the specific project scope and are communicated to the Client via a proposal or invoice.
5.2. Payment terms (e.g., prepayment, milestones, net payment period) will be specified in the invoice or separate agreement for each engagement.
5.5. Unless otherwise agreed, services operate on a prepayment or advance payment model as specified in the invoice.
5.7. The Company commences work on an Order once the agreed payment terms are met.
6. GUARANTEES, RIGHTS, AND OBLIGATIONS OF THE COMPANY

6.1. Quality Assurance: The Company is committed to ensuring high-quality service provision, asserting its competence and proficiency.
6.4. Legal Adherence: The Company is dedicated to upholding ethical and professional standards. If a Client's request is deemed unethical or illegal, the Company can decline.
6.6. Information Requests: The Company can solicit any relevant documents and information from the Client necessary for effective service provision.
6.8. Communication Commitment: The Company is obligated to keep the Client updated about the progression of services.
7. GUARANTEES, RIGHTS, AND OBLIGATIONS OF THE CLIENT

7.1. Information Accuracy: The Client undertakes to submit accurate, authentic, and comprehensive information.
7.8. Payment Commitment: The Client binds themselves to punctual and complete payment for services as per the issued invoice.
8. LIABILITY OF THE PARTIES

8.3. The cumulative liability of the Company under this Agreement is capped at the total fees paid by the Client for the specific Services from which the claim arose.
8.5. The Company shall not bear responsibility for shortcomings if the Client fails to provide the requisite documents, details, or information.
8.13. The Company does not assume any responsibility for the decisions the Client makes based on the consultation services rendered. Clients are strongly recommended to seek independent professional advice for critical decisions.
9. CONFIDENTIALITY OF INFORMATION

9.1. The Company is firmly committed to maintaining the confidentiality of all non-public business information, data, and strategies acquired during service provision.
10. TERM AND TERMINATION OF SERVICES
10.1. This Offer becomes effective upon its posting and remains in force until the Company withdraws it.
10.2. The Agreement is governed by the laws of the State of Georgia, USA.
10.3. This Offer may be unilaterally amended by the Company. Changes become effective upon posting on the Website.
10.8. Either party may terminate a specific service engagement as per the terms agreed for that engagement.
11. FINAL PROVISIONS
11.1. The Client may submit inquiries or complaints via email to businessarchitectgroup@gmail.com.
12. GOVERNING LAW AND DISPUTE RESOLUTION
12.1. This Agreement shall be governed by the laws of the State of Georgia.
12.2. All disputes shall first be resolved through negotiations via written claim to businessarchitectgroup@gmail.com.
12.3. Any unresolved dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules.
12.4. The Parties consent to the exclusive jurisdiction of the state and federal courts located in Fulton County, Georgia for any actions not subject to arbitration.
12.9. The prevailing party in any dispute is entitled to recover reasonable attorneys' fees and costs.
